One of the reasons why it is so important to involve a legal expert in the development of a SPA is that you need to be completely sure who is responsible for complying with the conditions, how they can measure when they are met and, ideally, a deadline for the parties to undress when needed. The United Kingdom left the European Union on 1 January 2020 and EU legislation will apply until the end of a transitional period on 31 December 2020. The UK government has always suggested that it would not seek to extend the transition period. Recent statements by the Prime Minister and other senior cabinet officials indicate that the UK government may not be able to conclude a trade deal with the EU before the end of the transition period. In some cases, a buyer may wish for the flexibility of compensation as a non-exclusive remedy to pursue other means or remedies to ensure that it can be done entirely. This is desirable where the compensation provisions do not adequately protect the purchaser in the event of unforeseen harm and allow him to take all the protection and remedies provided by the applicable legislation, not limited to the only remedies provided in the G.S.O. Sellers may prefer exclusive remedies because they believe that in the absence of them, a buyer could circumvent the negotiated terms and undermine the central purpose of the compensation rules. Exclusive remedies can also be used as a cap on liability pay. Applications must be made to approved and issued share capital, including information on stock classes and the number of shares in each class, as well as on the names and addresses of all registered shareholders that indicate the number of shares held, whether favourable or not. A spa should indicate the sale price of the shares, the currency paid, the schedule and all other conditions such as the staggered payment related to the company`s delivery. As a general rule, payment is made in cash, although the buyer can sometimes offer the seller some of his own shares or issue credit vouchers to the seller.
